OUTSUITE.SOCIAL POLICIES AND PROCEDURES

Please review these terms (the “Agreement”) carefully. By accessing or using the OUTSUITE.SOCIAL Services offered by OUTSUITE.SOCIAL “OS.SOCIAL” DBA of Parus Solutions Marketing Inc. (“OS.SOCIAL”, “we” or “us”), you confirm that you have read, understand, and accept this Agreement. This Agreement may be updated from time to time. You are responsible for regularly reviewing the most current version published on our website. Continued use of the OS.SOCIAL Services after changes constitute your consent to those changes.

This Agreement applies to Clients and Ambassadors who purchase OS.SOCIAL Services. By using OS.SOCIAL Services, you confirm that:

1. You will only use OS.SOCIAL Services for business and professional purposes.

2. You are at least 18 years old or legally able to enter into this Agreement.

3. You accept and will comply with this Agreement.

4. If using OS.SOCIAL Services on behalf of an organization, you have the authority to enter into legally binding agreements for the organization.

5. You are responsible for anyone using OS.SOCIAL Services through your account, including employees, consultants, or contractors (“Authorized Users”).

OS.SOCIAL Terminology

  • “Content” refers to all information and data (text, images, photos, videos, audio, documents) uploaded to, downloaded from, or appearing on OS.SOCIAL Services.

  • “Customer Content” is Content provided by you or your Authorized Users.

  • “Mentions” are Content from third parties that you use as a Client or that we obtain on your behalf as an Ambassador from Social Networks or other Third-Party Services.

  • “OS.SOCIAL Services” include our websites, mobile applications, and any services accessed or purchased through our websites.

  • “Third-Party Services” are services not provided by OS.SOCIAL that you may access or use in connection with OS.SOCIAL Services.

  • “You”, “Your”, “Customer” refer to the person or entity accessing OS.SOCIAL Services.

OS.SOCIAL Services Access

  • You and your Authorized Users may access OS.SOCIAL Services according to your subscription plan.

  • You may not access OS.SOCIAL Services using robots, crawlers, or scraping technologies.

  • OS.SOCIAL Services evolve constantly and we may change features at any time. We are not liable for modifications, price changes, suspensions, or discontinuances.

  • OS.SOCIAL Services depend on Social Networks, which we do not control. API changes may affect our Services, and we are not liable for changes made by Social Networks.

Acceptable Use Rules

  • You must comply with all Policies, Procedures, and applicable laws.

  • OS.SOCIAL may remove Content and suspend, restrict, or terminate your account for violations.

Customer and Submitted Content

  • Clients are solely responsible for Customer Content.

  • OS.SOCIAL may, but is not obligated to, review, filter, block, or remove Content.

  • For contests or Submitted Content, compliance with laws is your responsibility. OS.SOCIAL is not liable for Submitted Content or its accuracy.

Account Information

  • Clients and Ambassadors are responsible for account completeness, security, confidentiality, and accuracy.

  • Notify OS.SOCIAL promptly of unauthorized access or use of your account.

Content and Third-Party Services

  • OS.SOCIAL is not responsible for Content from others, including Mentions and Third-Party Services.

  • Accessing or using Third-Party Services is at your own risk, and your relationship with providers is governed solely by their terms.

  • OS.SOCIAL may preview, verify, flag, modify, block, or remove Third-Party Services but is not responsible for third-party actions or data.

Data Protection & GDPR

  • If using OS.SOCIAL Services involves personal data under GDPR or CCPA, you may execute a Data Processing Addendum (DPA).

  • The DPA, once signed, governs processing of personal information.

Confidentiality

  • Non-public information shared with you must remain confidential and secure.

Intellectual Property

  • Customer Content: You retain rights, granting OS.SOCIAL a non-exclusive, worldwide, perpetual, irrevocable license to use Customer Content to provide and improve Services.

  • Feedback: You grant OS.SOCIAL a license to use any feedback you provide.

  • OS.SOCIAL Services: All rights remain with OS.SOCIAL or the applicable third party.

Non-Refundable Payments, Renewal, and Credit Card Requirements

  • All OS.SOCIAL plans are one-year, non-refundable, and binding upon signing.

  • Monthly payments are automatically charged to a valid credit card on file.

  • Plans renew automatically at the end of the annual term unless you cancel or downgrade in writing at least 30 days prior to the renewal date, with OS.SOCIAL approval required.

  • Taxes are the responsibility of the customer.

  • Declined or NSF payments incur a $25 fee. Accounts with past due balances are locked until current, and unpaid accounts over 90 days are sent to collections.

  • Chargebacks are prohibited. Any chargeback incurs a $50 fee and $300 added upon reversal, due within 30 days.

Cancellation and Termination

  • Plan term begins on acceptance and ends one year from the start date. Downgrades are allowed, but remaining payments are due and no refund is provided.

  • OS.SOCIAL may refuse service or suspend accounts for violations of this Agreement or Acceptable Use Rules.

Disclaimer and Limitation of Liability

  • OS.SOCIAL Services are provided “as is” without warranties, including merchantability or fitness for purpose.

  • OS.SOCIAL is not liable for indirect, incidental, punitive, or consequential damages, including third-party actions or Social Network activities.

  • Prices reflect limitations of liability and disclaimers.

Claims and Disputes

  • You indemnify OS.SOCIAL Parties for claims related to Customer or Submitted Content, breaches of this Agreement, or Third-Party Service use.

  • Breaches may result in legal action; you are responsible for attorney fees and court costs.

  • Florida law governs this Agreement; litigation occurs in Pinellas County.

  • Dispute resolution is individual only; class actions are waived.

Miscellaneous

  • Changes: OS.SOCIAL may update this Agreement by posting revised terms online; continued use constitutes acceptance.

  • Assignment: You may not assign rights; OS.SOCIAL may assign its rights.

  • Force Majeure: OS.SOCIAL is not liable for events beyond its control, including natural disasters, cyberattacks, government actions, or Social Network changes.

  • Notices: OS.SOCIAL may notify via platform banner, email, phone, or Social Network accounts.

  • Entire Agreement: This Agreement, including referenced documents, is the full agreement. Prior understandings or additional terms do not apply.

Acceptable Use Rules – Detailed
You must:

  • Protect your account credentials and prevent unauthorized access.

  • Monitor all activity through your account.

  • Notify OS.SOCIAL of suspected security breaches.

  • Comply with Social Network TOS for connected accounts.

You must not:

  • Share accounts with unauthorized users.

  • Sell, trade, or transfer Services.

  • Upload content you do not own or have rights to.

  • Post defamatory, threatening, fraudulent, misleading, hateful, terrorist, child-exploitative, intimate without consent, or unlawful content.

  • Send spam or malware.

  • Reverse engineer, hack, or disrupt Services or Social Networks.

  • Access Services to build competitive products or copy functionality.

  • Engage in abusive practices affecting Service performance.

  • Use Services for redistribution or fraudulent activity.

  • Access or use Content for surveillance, discriminatory purposes, or sensitive personal information targeting.

  • Make negative public statements about OS.SOCIAL on any platform.

Mentions Outside OS.SOCIAL

  • You are responsible for compliance with Social Network terms and privacy laws when using Mentions outside OS.SOCIAL Services.

  • You must cooperate with OS.SOCIAL to remove Mentions if required by Social Networks.

Submitted Content Rules

  • Do not request sensitive personal information from participants.

  • Do not violate laws or reference OS.SOCIAL without authorization.

Platform Application Terms

  • Platform includes software, content, services, technology, and updates.

  • Customer Content Form collects information provided to OS.SOCIAL.

  • Social Tiles are content assets applied to campaigns.

  • OS.SOCIAL Services include “Done for You” services for Ambassadors.

  • Intellectual property rights remain with OS.SOCIAL or applicable third parties.

  • Terms begin at sign-up and continue for one year with automatic renewal; 30-day written notice is required for cancellation.

Privacy and Data Collection

  • Account information: name, email, organization, address, preferences, and optional images.

  • Billing information: payment method, credit card, expiration, billing address, CVV.

  • Services acquired: plan type, team members, transaction information.

  • Content: social profiles, locations, posts, messages, images, advertising.

  • Logs and analytics: IP address, browser info, device info, usage, session data.

  • Customer support: inquiries, feedback.

  • Surveys and events: participation, contact info, organization details.

  • Other interactions: social media engagement, email analytics, teleconference feedback, website resource access.

Training

  • OS.SOCIAL provides training videos and support via email, ticketing, or phone.

Browsing Information

  • Automated chat, cookies, web beacons, pixels, and tracking technologies are used to collect information.

  • Aggregated data includes engagement, form analysis, session replay, and mouse movements.

Use of Information

  • Authenticate and manage users.

  • Process payments and manage accounts.

  • Respond to inquiries and provide updates.

  • Manage performance, security, and compliance.

  • Provide location-based features.

  • Analyze usage, feedback, and surveys for improvement.

  • Use content and Social Network information to provide Services.

  • Communicate updates, events, and marketing materials.
