AGREEMENT TO TERMS
These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and OUTSUITE.SOCIAL “OS.SOCIAL” DBA of Parus Solutions Marketing Inc. (“Company,” “we,” “us,” or “our”), concerning your access to and use of the https://www.os.social website, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

By accessing the Site, you acknowledge that you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with any of these Terms of Use, you are prohibited from using the Site and must discontinue use immediately.

Supplemental terms and conditions or documents posted on the Site are incorporated by reference. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of such modifications.

The Site is not intended for distribution to or use by any person or entity in any jurisdiction where such access would be illegal. Users are responsible for compliance with local laws.

The Site is intended for users aged 18 or older. Persons under 18 are not permitted to use or register for the Site.

INTELLECTUAL PROPERTY RIGHTS
All content on the Site, including text, graphics, logos, images, audio, video, software, and trademarks (collectively “Content” and “Marks”), is owned or controlled by OUTSUITE.SOCIAL “OS.SOCIAL” DBA of Parus Solutions Marketing Inc. or licensed to it, and is protected by intellectual property laws.

You are granted a limited license to access and use the Site and download or print Content for personal, non-commercial purposes only. No part of the Site or Content may be reproduced or used commercially without prior written permission.

USER REPRESENTATIONS
By using the Site, you represent that:

All registration information you submit is accurate and current.

You will maintain the accuracy of such information.

You have the legal capacity to enter this agreement.

You are not a minor.

You will not access the Site through automated means.

You will not use the Site for illegal or unauthorized purposes.

Your use does not violate any applicable law.

We may suspend or terminate accounts providing false or incomplete information.

USER REGISTRATION
You may be required to register. You agree to keep your password confidential and are responsible for all use of your account. We may remove, reclaim, or change usernames that are inappropriate or objectionable.

PROHIBITED ACTIVITIES
You may not:
Collect or compile data from the Site without permission.
Mislead, defraud, or trick other users or us.
Circumvent security features or interfere with Site functionality.
Disparage the Company or its Site.
Harass or harm others.
Upload viruses or disruptive materials.
Use automated systems to access the Site without authorization.
Impersonate others or post unauthorized materials.
Engage in unauthorized commercial activity using the Site.

USER GENERATED CONTRIBUTIONS
You may submit content (“Contributions”) such as text, photos, videos, or other materials. By submitting Contributions, you represent that:
You own the content or have rights to it.
It does not infringe on third-party rights.
It is not unlawful, obscene, harassing, or discriminatory.
You have consent from identifiable individuals included in your Contributions.

CONTRIBUTION LICENSE
By posting Contributions, you grant OUTSUITE.SOCIAL “OS.SOCIAL” DBA of Parus Solutions Marketing Inc. a worldwide, royalty-free, perpetual, transferable license to use, reproduce, display, distribute, modify, and create derivative works from your Contributions for any purpose.

You retain ownership of your Contributions. We may edit, categorize, or remove Contributions at our discretion without notice.

GUIDELINES FOR REVIEWS
Reviews must be based on firsthand experience and must not include offensive, discriminatory, or false statements. Reviews are licensed to the Company under the same terms as Contributions.

SOCIAL MEDIA
You may link Third-Party Accounts to the Site. By doing so, you grant access to your account content and connections. We are not responsible for third-party content and your relationship with third parties is governed solely by your agreement with them.

SUBMISSIONS
Questions, suggestions, ideas, or feedback you submit are non-confidential and become the property of OUTSUITE.SOCIAL “OS.SOCIAL” DBA of Parus Solutions Marketing Inc. We may use them freely without obligation to you.

ADVERTISERS
Advertisers are solely responsible for their content and services. The Company provides placement only and assumes no liability.

SITE MANAGEMENT
We may monitor, manage, restrict, or remove content and access at our discretion to protect our rights and ensure proper Site functioning.

PRIVACY POLICY
Your use of the Site is governed by our Privacy Policy: https://os.social/privacy-policy/. By using the Site, you consent to the collection, transfer, and processing of your data in the United States.

TERM AND TERMINATION
We may suspend or terminate access at our discretion, without notice, including for breach of these Terms. Termination does not limit our right to pursue legal remedies.

MODIFICATIONS AND INTERRUPTIONS
We may change, suspend, or discontinue the Site at any time. We are not liable for interruptions, errors, or downtime.

GOVERNING LAW
These Terms are governed by Florida law without regard to conflict of law principles.

DISPUTE RESOLUTION
Informal Negotiations
Parties agree to attempt negotiation for at least 30 days before arbitration.

Binding Arbitration
Unresolved disputes (except intellectual property, theft, privacy, or injunctive claims) will be resolved through binding arbitration under AAA rules in Pinellas, Florida. Class actions are prohibited.

CORRECTIONS
We may correct errors or update information on the Site without notice.

DISCLAIMER
The Site is provided “as is.” We disclaim all warranties including merchantability, fitness for purpose, and non-infringement.

LIMITATIONS OF LIABILITY
Liability is limited to the amount paid by you to us in the three months prior to any claim. We are not liable for indirect, incidental, or consequential damages.

INDEMNIFICATION
You agree to defend and hold us harmless from claims arising from your use of the Site, Contributions, or violation of these Terms.

USER DATA
You are responsible for any data transmitted or stored through the Site. We are not liable for loss or corruption of such data.

ELECTRONIC COMMUNICATIONS
All Site communications constitute electronic communications. Electronic signatures are valid.

CANCELLATION POLICY
Non-Refundable: All plans are one-year, non-refundable, and binding once signed.
Payments: A valid credit card must be on file. Monthly payments are automatic.
Renewals: Plans automatically renew unless you cancel in writing at least 30 days prior to the renewal date. Cancellation requires approval from OS.SOCIAL.
Late or Failed Payments: A $25 fee applies to declined payments. Accounts are locked until balances are current. Accounts unpaid for 90 days are sent to collections.

MISCELLANEOUS
These Terms constitute the full agreement. Assignments, severability, force majeure, and other standard provisions apply. No joint venture, partnership, or employment relationship is created.
